Terms of Business


The Bloom Room Bristol LTD - Terms and Conditions of Trade Oct 2017. 

1. Definitions 
Buyer - The person/company who buys the goods from the Seller.

Conditions - The terms and conditions of sale as set out in this document unless otherwise specially agreed.
Goods - The items supplied by the Seller to the Buyer. 
Price - The price agreed between the Seller and Buyer for the goods, excluding VAT and any carriage, packaging costs. 
Seller - The Bloom Room Bristol LTD. Unit 9 Kenn Court Business Park, Roman Farm Road, Bristol, BS4 1UL. 

2. Conditions 
2.1 The conditions within this document forms the contract between the Buyer and the Seller. The Buyer should read terms frequently as the terms may change. 
2.2 Goods ordered from the Web Shop shall be completed by the Supplier however the Supplier has the right to alter the order if deemed necessary. 
2.3 Purchase and acceptance of goods will be deemed acceptance of terms and conditions. 
2.4 These terms and conditions may not be varied except otherwise agreed with written agreement by the directors/a person acting on their behalf of the Seller. 

3. Price 
3.1 Working in a live environment prices may vary depending on the purchase price in the live auction at any given time. 
3.2 The price the Buyer shall be charged will be the price quoted on the Seller’s confirmation of order/web shop. 
3.3 Special orders or goods purchased by other means (in store or on the phone) may differ in price to the price shown on the web shop. 
All prices are exclusive of VAT which shall be due at the rate in force on the date of the Seller’s invoice. 

4. Payment 
4.1 Payment of the Buyers invoice including VAT will be due within 7 days from the date the invoice has been generated, unless otherwise agreed between Seller and Buyer in advance. This date may differ from the delivery date which is shown on the invoice. 
4.2 Buyers who have agreed to pay by card, payment will be debited each week unless otherwise informed. Payment will include all invoices outstanding unless otherwise agreed between the Buyer and Seller. 
4.3 Interest may be added to any outstanding invoices from the date when payment was due and will be set by the Seller. 
4.4 All invoices should be paid in full by the Buyer, part payment will not be accepted unless otherwise agreed between Buyer and Seller. 

5. Invoices 
5.1 Any invoices unpaid remains the responsibility of the Buyer. 
5.2 Invoices found by the Seller to be unpaid regardless of Buyer/Seller’s miss will be advised and requested within the normal 7day procedure once bought to the Buyers attention. 

6. Goods 
6.1 The quantity and description of goods purchased will be listed in Buyers confirmation of order. Discrepancies should be made known to the Seller immediately. 
6.2 From time to time the goods may differ slightly. 
6.3 On the rare occasion the Seller is unable to supply the goods ordered due to reasons beyond the Sellers control the Seller may use judgement to source and supply the closest possible match of product. If an alternative cannot be sourced the product will be deducted from the invoice. 

7. Delivery of goods purchased 
7.1 Delivery charges are as follows,
- £4.50 for deliveries within the Bristol boundaries
- Minimum delivery £85.00 ex VAT
- Agreed delivery charges for deliveries outside the Bristol boundaries
- All delivery charges are subject to VAT and are added to the buyers invoice 
7.2 Delivery shall be agreed on set up of account or other forms of agreement. 

7.3 Delivery of the goods will be made to the Buyers address on the date selected on the Buyers order within reason. 

7.4 The seller will endeavour to deliver the goods on the date specified, however this is not guaranteed, and the Buyer will be advised if a delivery cannot be fulfilled. 

7.5 The sellers will endeavour to make sure all goods are transported safely and efficiently, however no liability shall be accepted for any item that does not arrive, is not available or is damaged during transportation. 

7.6 The seller will not be held responsible for any loss or damage due to non/late delivery. 

7.7 The Seller takes no responsibility for any loss whatsoever to property or goods in any circumstance in unattended deliveries. 


8. Inspection of the goods for defects/shortages 

8.1 The buyer is expected to carry out an inspection of all delivered goods within 12 hours of delivery and notify the Seller of any defects or shortages. After this time the Buyer shall be deemed to have accepted the goods in the delivered state. 


9. Returns 
9.1 The Seller will not accept returns unless agreed between Buyer and Seller. 

10. Risk 
10.1 The seller retains ownership of the goods nonetheless, all risk for the goods purchased passes to the Buyer on receipt of delivery. 

11. Title 
11.1 Title of the goods remain with the Seller until invoices has been paid in full including all VAT and carriage/packing charges. 
11.2 The seller may repossess goods and terminate the agreement at any time should the seller deem fit to do so. 
11.3 The Seller may terminate the Buyers accessibility to the Web Shop at any time. 

12. Use of Web shop pictures
12.1 On no account should any pictures be copied from The Bloom Room (Bristol) Ltd web shop and placed on any sales platform. Pictures or articles on The Bloom Room (Bristol) Ltd web shop or website are solely for The Bloom Room (Bristol) Ltd use only and permission is not given for any reproduction whatsoever.

13. Use of returnable equipment
13.1 All returnable equipment should be left out for collection during the next delivery. All returnable crates are the property of The Bloom Room (Bristol) Ltd and a charge may be added for unauthorised usage and/or delayed return.

If you supply us with personal information in order to receive information from us, we collect and store that information. That information enables us to fulfil your information request. If you review or download information, we track the visit. That information is helpful to provide you with tailored information and to give us information about your use of “the website”. Information submitted via “the website” will not be passed on to any other organisation. We follow the 8 basic principles of privacy and this is applied to all our business activities. They are;
